Switzerland will introduce a national transparency register on 1 October 2026. Swiss companies and certain foreign legal entities will be required to identify their beneficial owners and report them to the transparency register. In addition, there are corresponding documentation and record-keeping obligations.

The new legal requirements entail additional obligations for the companies concerned and other parties involved. Significant fines may be imposed for deliberate breaches of the reporting obligations and certain disclosure obligations. Depending on the nature of the breach, this may affect not only the companies but also shareholders, beneficial owners and other persons subject to disclosure obligations.

Complex and staggered transitional periods apply to implementation. Depending on the type of legal entity concerned, there are generally three to six months from the date the Act comes into force to fulfil the necessary reporting obligations.
